Barie.AI Terms of Service

1. Acceptance of Terms

Welcome to Barie.AI! These Terms of Service ("Terms") govern your access to and use of the Barie.AI platform, website, and related services (collectively, the "Service" or "Platform") provided by Barie.AI, Inc. ("Barie.AI," "we," "us," or "our"). By accessing or using the Service (including by creating an account or by otherwise engaging with our AI tools), you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Service. You also agree to our Privacy Policy (incorporated herein by reference), which explains how we collect and use your data. These Terms constitute a binding legal agreement between you and Barie.AI.

Please read these Terms carefully. We have included section headings and summaries for your convenience, but the full text of each section is what legally governs your use of the Service. If you have any questions, feel free to contact us.

2. The Barie.AI Service Overview

Barie.AI is an advanced general intelligence platform combining AI agents and large language models, designed to help you "Spark creativity" and "Achieve more with effortless intelligence." Our Service allows users to interact with AI agents, generate content, automate tasks, and transform ideas into results with precision. While we strive to provide high-quality and reliable AI outputs, you understand that AI-generated content may not be 100% accurate or appropriate in every instance. Use your judgment when applying or relying on any results from our Service. Barie.AI is continually learning and improving, and by using the Service, you are helping to advance an AI platform where "the possibilities are endless."

3. Eligibility and Account Registration

3.1 Account Creation

To access many features of Barie.AI, you must create a user account. When registering, you agree to provide truthful, accurate, and complete information about yourself as prompted by the sign-up process, and to keep this information up-to-date. This includes providing a valid email address and setting a secure password. You must not impersonate anyone or choose an account name that is offensive or violates someone's rights. We reserve the right to reject or require changes to usernames that violate these Terms or impersonate identity.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You are responsible for all activities that occur under your account (including any actions taken by persons to whom you have given access to your account). You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your account or any other breach of security. Barie.AI will not be liable for any loss or damage arising from your failure to safeguard your account.

3.3 One Account Per User

You should generally have only one account for personal use, unless otherwise permitted by us. Creating multiple free accounts to circumvent limitations or to abuse promotional credits is not allowed. If you are an organization or using the Service for business purposes and require multiple accounts or team accounts, please contact us to discuss enterprise options.

3.4 Profile and Communications

By creating an account, you consent to receive electronic communications from Barie.AI (e.g., via email or through the Service's interface) regarding your account, transactions, and/or use of the Service. You can manage your communication preferences through your account settings or by following unsubscribe instructions in promotional emails. However, you understand that you may still receive service announcements and administrative messages even if you opt out of marketing communications, as these are necessary for the proper functioning of the Service.

4. Credit-Based Model and Payments

4.1 Credits and Usage

Barie.AI operates on a credit-based usage model. Upon signing up, users may receive a certain number of free credits to try the Service. Continued or expanded use of the Service (beyond the free tier) requires the purchase of credits or a subscription plan, as detailed on our website or app. Each AI action or agent task may consume a certain number of credits, which will be disclosed in advance (for example, generating a lengthy response might cost more credits than a short one).

4.2 Purchasing Credits

You can purchase credits through our interface using acceptable payment methods. All payments are processed securely by our third-party payment processor, Stripe. By entering your payment information, you represent that you are authorized to use the payment method and you authorize Stripe to charge the applicable fees to that payment method. All payment information is subject to Stripe's terms and privacy policy (see Privacy Policy and Stripe's site for details).

4.3 Pricing and Taxes

Prices for credits or subscription plans are as indicated at the time of purchase. They are subject to change, but changes will not affect previously purchased credits. In the event of a pricing error or discrepancy, we reserve the right to cancel orders (with no charge to you) or adjust the price after contacting you. Stated prices do not include any applicable taxes or fees that may apply in your jurisdiction. You are responsible for any sales, use, value-added, or other governmental taxes or duties due with respect to your purchase of credits or use of the Service. If we are obligated to collect taxes, the applicable amount will be added to your billing total.

4.4 No Refunds on Credits

Purchased credits (and any free credits granted) are generally non-refundable, except where required by law. Credits have no monetary value outside of the Barie.AI Service and cannot be exchanged for cash. Any promotional or bonus credits may expire if not used within the specified timeframe. We will endeavor to clearly disclose any expiration or usage limits on credits at the time of promotion. If you believe there has been an error in billing or credit allocation, please contact our support team and we will investigate. In certain reasonable cases (e.g., accidental duplicate purchase, serious technical issues with the Service), we may, at our discretion, provide a refund or credit adjustment.

4.5 Subscription Plans

If Barie.AI offers subscription plans (e.g., monthly plans that provide a set number of credits or unlimited use up to fair use limits), additional terms will apply. Such plans may auto-renew on a periodic basis (monthly or annually) and you authorize us to charge your payment method at the start of each billing period until you cancel. You can cancel a subscription at any time effective at the end of the current billing period. We will provide details of any subscription in a separate plan description. In case of conflict between those plan terms and these Terms, the specific plan terms will govern for that plan.

4.6 Changes to Fees

We reserve the right to change the prices of credits, subscription fees, or introduce new fees for new features or services at any time, upon reasonable notice to you (for example, by posting on our website or via email). Fee changes will not apply retroactively and will only affect purchases or renewals after the effective date of the change. If you do not agree to a pricing change, you may choose not to purchase additional credits or to cancel the subscription before the new rates take effect.

5. User Conduct and Acceptable Use

By using Barie.AI, you agree to use the Service responsibly and legally. You are solely responsible for all content and data you input, upload, or generate on the Platform and for your use of the Service. You agree that you will NOT engage in any of the following prohibited activities:

5.1 Illegal Activities

Using the Service for any unlawful purpose or in furtherance of illegal activities. You must comply with all applicable laws and regulations in your use of Barie.AI. This includes not using the Service to plan or execute crimes, not violating export control or sanctions laws, and not engaging in fraud.

5.2 Harmful or Harassing Behavior

Using the Service to transmit or store content that is defamatory, libelous, threatening, harassing, obscene, or that promotes hate, violence, or discrimination against any individual or group. This includes hate speech or any content that is abusive or that could stalk, intimidate, or otherwise harm others.

5.3 Intellectual Property Infringement

Using the Service to upload, transmit, or generate content that infringes the copyrights, trademarks, patents, trade secrets, or other intellectual property rights of any person or entity. You must not ask the AI to generate content that you know or reasonably should know violates someone else's IP rights (e.g., requesting a verbatim copy of copyrighted text you do not have rights to, or generating logos that mimic third-party trademarks).

5.4 Spam and Malware

Using the Service to transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, or pyramid schemes. Additionally, you must not use the Service to distribute malware, viruses, Trojan horses, corrupted files, or any other items of a destructive or deceptive nature.

5.5 Security Violations

Attempting to probe, scan, or test the vulnerability of any Barie.AI system or network, or breaching any security or authentication measures. You must not interfere with or disrupt the integrity or performance of the Service or the data contained therein. This includes avoiding any attempts to gain unauthorized access to accounts, servers, or databases connected to the Service.

5.6 Misuse of the AI System

You agree not to use the AI in ways that could cause harm. This includes: attempting to generate disallowed content (such as extremely violent, sexually explicit, or highly sensitive personal data about individuals in violation of privacy); using the AI to engage in activities like automated scraping of information from the internet through the agent beyond permitted use, or using the AI to produce phishing content or messages that impersonate others. You also should not use the Service in a manner that excessively burdens our infrastructure (for example, by automating requests in a way that bypasses usage limits or by launching denial-of-service attacks).

5.7 Circumvention and Unauthorized Use

You will not attempt to circumvent any content filters, usage limits, or security features that we have implemented. You will not use the Service through any means other than our officially supported interfaces (for example, no unauthorized scripts or modified clients). Additionally, you should not falsely imply that you are affiliated with or endorsed by Barie.AI.

5.8 No Reverse Engineering

You must not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying components of our models, algorithms, or software (except to the extent such restriction is prohibited by law). Likewise, you agree not to develop or assist anyone in developing a competing product by exploiting access to our Service in unauthorized ways (e.g., systematically querying the AI to extract knowledge from it).

Violation of the above rules may result in immediate suspension or termination of your account, and may also subject you to legal consequences. Barie.AI reserves the right to investigate any violation of these Terms and to take appropriate legal action. We also reserve the right (but assume no obligation) to monitor content submitted to or generated by the Service, and to block or remove any content or user that, in our judgment, violates these Terms or applicable law.

6. User Content and Intellectual Property Rights

6.1 Your Content

You retain ownership of any original content that you provide to Barie.AI, including text, files, or other materials you upload or input ("User Content"). By using our Service, you give Barie.AI a non-exclusive, worldwide, royalty-free license (with the right to sublicense to our service providers and affiliates) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute your User Content solely for the purposes of providing and improving the Service, and subject to our Privacy Policy. This license enables, for example, us to display your content to you, to format it appropriately, to use it to train or refine our AI models (unless you opt out as described in the Privacy Policy), and to create backups or debug issues. We do not claim any ownership over your content; you are free to use it for any purpose outside our Service. If you delete content from the Service, our license to that content will generally end after a reasonable period needed for full removal from backups and our systems, though note that content you have shared with others or that has been used in aggregate training may persist in a form that does not identify you.

6.2 Responsibility for Content

You are solely responsible for the User Content you submit or generate. This means you must ensure you have all necessary rights to input the content (for example, not violating confidentiality obligations or others' IP rights) and that the content is lawful. We are not responsible for any actions you take with the content generated by the AI or for any decisions you make based on that content. While we strive to ensure the AI's outputs are useful and accurate, they are ultimately computer-generated and may occasionally be incorrect or inappropriate. Always review and use AI outputs with caution, especially for important or sensitive matters.

6.3 Our Intellectual Property

All rights, title, and interest in and to the Barie.AI Service (excluding your content and other users' content) are and will remain the exclusive property of Barie.AI and its licensors. This includes, but is not limited to, the software, algorithms, AI models, the design, functionality and appearance of our website and apps, our trademarks, logos, and brand elements, and any content or information provided by us (except for content originating from users). The Barie.AI name and logo are trademarks of Barie.AI, Inc. or its affiliates. You are not granted any rights in or to the Service or any content within the Service, other than the limited right to use the Service in accordance with these Terms. You agree not to remove, alter, or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in the Service or output.

6.4 Feedback

We appreciate feedback, comments, and suggestions for improvements to our Service ("Feedback"). If you choose to provide Feedback, you agree that we are free to use it without any restriction or compensation to you. By submitting Feedback, you grant Barie.AI a perpetual, irrevocable, worldwide, royalty-free, sublicensable right and license to use, modify, and incorporate the Feedback into the Service or other products or services.

6.5 AI-Generated Content License to You

Content generated by the AI (based on your prompts) is not pre-existing content — it is created on the fly. To the extent any output from the Service is subject to copyright or other IP protection, Barie.AI disclaims ownership of that output and, upon its generation, assigns to you any applicable rights it might have in the content generated specifically for you. This assignment is subject to your compliance with these Terms and is limited to the portion of output that is unique to your use (we don't, for instance, assign rights to underlying model weights or common language the AI might use). However, note that AI-generated content may include or be similar to content that is generated for others, or may be based on the model's training data. We do not guarantee that the outputs are unique or that they won't infringe on third-party rights. It is your responsibility to review AI outputs before use, especially if you plan to publish or use them commercially, to ensure they do not inadvertently violate any laws or rights. Barie.AI will not be liable for claims arising from your use of AI-generated content.

6.6 Copyright Infringement (DMCA Policy)

We respect intellectual property rights and ask our users to do the same. If you believe that any content on the Service (including AI outputs or user inputs) infringes your copyright, you may send a notice to our Designated Copyright Agent at [email protected]. Please include all the information required by the Digital Millennium Copyright Act (DMCA) for such notices. We reserve the right to remove content alleged to be infringing and to terminate accounts of repeat infringers.

7. Third-Party Services and Links

7.1 Third-Party Services within Barie.AI

Our Service may incorporate or interoperate with third-party services or content. For example, we use Stripe for payment processing and Google Analytics for usage tracking, as described in our Privacy Policy. When you use these portions of our Service, you are also subject to the third parties' terms of service and privacy policies (for instance, Stripe's services are subject to Stripe's terms, and data collected by Google Analytics is handled as per Google's policies). We do not control third-party services, and they are provided to you only for your convenience. Barie.AI does not endorse and is not responsible for third-party services' content, operations, or practices.

7.2 Links to External Sites

The Service or users may provide links to other websites or resources that are not owned or controlled by Barie.AI. For example, user-generated content or AI outputs might include links to third-party sites, or our website might contain blog links or documentation references. Barie.AI is not responsible for the availability or accuracy of such external sites or resources, nor for the content, products, or services on or available from those websites. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites or resources.

7.3 Interactions with Third Parties

If you engage with any third-party through Barie.AI (for example, if we enable a feature where an AI agent can interface with an external application or API on your behalf), any such interaction is strictly between you and the third party. Barie.AI is not responsible for any terms agreed between you and a third party, or any data you provide to them. You should review the terms and policies of third-party services before using them via our Platform.

7.4 Third-Party Content Disclaimer

Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties (including other users) are those of the respective author(s) or distributor(s) and not of Barie.AI. We do not guarantee the validity, accuracy, or reliability of any content posted by users or integrated from third-party sources.

8. Termination and Suspension

8.1 Your Right to Terminate

You may stop using our Service at any time. You may also delete your Barie.AI account at any time by following the instructions in your account settings or contacting us. If you delete your account, these Terms will no longer apply to you, except for any provisions that survive termination (see Section 12.4 on surviving terms). Keep in mind that deletion of your account is irreversible; you will lose access to any credits remaining in your account at the time of termination, and we are under no obligation to compensate you for unused credits (unless required by law or as stated in a refund policy).

8.2 Our Right to Suspend or Terminate

We reserve the right to suspend or terminate your access to the Service (or certain features of the Service) at any time, with or without notice, for any of the following reasons: (a) if you violate any provision of these Terms or our policies (including the Privacy Policy and Acceptable Use rules); (b) if we believe your use of the Service poses a security risk, could cause harm to us or others, or may create liability for us; (c) if we discontinue the Service or a portion of it (although we will strive to give advance notice in such case); or (d) for any other reason in our sole discretion. In many cases of moderate violations, we will give you a warning and an opportunity to correct the issue, but for serious violations we may act immediately.

8.3 Effect of Termination

Upon termination of your account or this agreement for any reason: (a) you must immediately stop using the Service and cease any further use of any Barie.AI intellectual property; (b) any licenses granted to you under these Terms will end (except that you may retain copies of AI-generated content already in your possession, subject to the restrictions in these Terms); (c) we may delete or disable access to your account and all associated data (except we may retain copies for archival or legal compliance as required and in accordance with our Privacy Policy's retention section). We will not be liable to you or any third party for termination of your access to the Service or deletion of your content, provided we've adhered to these Terms.

8.4 Survival

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions (Section 6.3), warranty disclaimers, indemnity, limitations of liability, dispute resolution, and governing law. Termination does not relieve you of any obligation to pay any fees accrued or owed to Barie.AI prior to termination.

9. Disclaimers of Warranties

Use At Your Own Risk: The Barie.AI Service is provided "AS IS" and "AS AVAILABLE". While we strive to offer great services, we make no representations or warranties of any kind with respect to the Service, whether express, implied, statutory, or otherwise, including, without limitation, any warranty that the Service will be uninterrupted, error-free, free of harmful components, or that the content (including AI-generated content) will be secure or not lost or altered.

9.1 No Guarantee of Results

Barie.AI's AI outputs and agent actions are generated based on probabilistic models. We do not guarantee the accuracy, completeness, or usefulness of any results or content obtained through the Service. The AI may occasionally produce incorrect statements ("hallucinations") or content that could be considered offensive or problematic. You accept that reliance on any AI-generated content is done at your own discretion and risk. We recommend independently verifying important information.

9.2 Disclaimer of Implied Warranties

To the fullest extent permitted under applicable law, Barie.AI disclaims all implied warranties or conditions, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or title, and any warranties arising out of course of dealing or usage of trade. No advice or information, whether oral or written, obtained from Barie.AI or through the Service, will create any warranty not expressly stated herein.

9.3 Not a Professional Advice Service

Unless explicitly stated, Barie.AI is not intended to provide professional advice (e.g., medical, legal, financial, etc.). Any content that might be construed as such is for informational purposes only and should be confirmed by consulting a qualified professional. We are not liable for actions you take based on information you obtain through the Service.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, the scope and duration of any warranty will be the minimum permitted under applicable law.

10. Limitation of Liability

10.1 Exclusion of Certain Damages

To the fullest extent permitted by law, Barie.AI and its affiliates, officers, employees, agents, partners, and licensors will not be liable to you for any indirect, incidental, special, consequential, or exemplary damages whatsoever, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses (even if we have been advised of the possibility of such damages), arising out of or related to your use of or inability to use the Service, or the AI outputs or other content obtained from the Service. This limitation applies to all causes of action, in the aggregate including, without limitation: breach of contract, breach of warranty, negligence, strict liability, misrepresentations, or any other tort.

10.2 Cap on Liability

To the fullest extent permitted by law, the total liability of Barie.AI and its affiliates for any claims arising out of or relating to these Terms or the Service is limited to the amount you paid us for the Service in the 12 months immediately preceding the event giving rise to the claim (or, if you have not paid anything, to $50 USD). This cap on liability is cumulative and not per-incident; multiple claims will not enlarge this limit.

10.3 Exceptions

The limitations in this section (Limitation of Liability) do not exclude or limit liability for gross negligence, willful misconduct, or fraud by Barie.AI, or for any other matters in which liability cannot be lawfully limited or excluded under applicable law. However, such liability is limited to the smallest extent required by law.

10.4 Basis of the Bargain

You acknowledge and agree that Barie.AI has offered its Service and entered into these Terms in reliance upon the disclaimers and the limitations of liability set forth herein, which reflect an agreed allocation of risk between you and us. You further acknowledge that the disclaimers and limitations herein are an essential part of the bargain between us, without which Barie.AI would not be able to provide the Service on the same terms.

Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such jurisdictions our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Barie.AI, its parent company, affiliates, and their respective officers, directors, employees, and agents (the "Barie.AI Parties") from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with: (a) your access to or use of the Service (including any actions by someone else using your account); (b) your User Content or the use of your User Content by Barie.AI as permitted under these Terms; (c) your violation of any term of these Terms, the Privacy Policy, or any applicable law or regulation; or (d) your infringement of any third-party right, including any intellectual property, confidentiality, or privacy right.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in such case, you agree to cooperate with our defense of such claim. You will not settle any claim that affects the Barie.AI Parties or imposes any obligation on the Barie.AI Parties without our prior written consent.

This indemnity obligation will survive the termination or expiration of your relationship with Barie.AI and use of the Service.

12. General Provisions

12.1 Governing Law

These Terms and any action related thereto will be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of laws principles. However, if you reside outside of the United States, you may be entitled to the protection of the mandatory consumer protection provisions of your local consumer protection law. In such cases, nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.

12.2 Dispute Resolution and Arbitration

Initial Resolution: Most concerns can be resolved quickly by contacting our support team at [email protected]. We encourage you to reach out to us first to attempt informal resolution.

Binding Arbitration: If we cannot resolve a dispute informally, you and Barie.AI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service, will be settled by binding arbitration on an individual basis. You and Barie.AI hereby waive the right to a trial by jury or to participate in a class action for such disputes. The arbitration will be conducted in English, and, unless otherwise required by law, will take place in San Francisco, California, or another mutually agreed location, or via video/teleconference for convenience.

Arbitration Procedure: Arbitration shall be administered by a reputable arbitration provider (such as the American Arbitration Association, "AAA") under its rules for consumer disputes. The arbitrator will have exclusive authority to resolve any disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement. The arbitrator can award any relief that a court of competent jurisdiction could, including individual damages and injunctions, but may not award relief on behalf of anyone not a party.

Exceptions: Either party may choose to bring an individual action in small claims court (if the claim qualifies), or seek injunctive relief in a court of law for infringement or misuse of intellectual property rights. Also, if the agreement to arbitrate is found unenforceable, you agree to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California for resolution of any dispute, and you waive any objections to venue or inconvenient forum.

Opt-Out: You have the right to opt out of arbitration by sending us a clear written notice of your intent to opt out within 30 days of first accepting these Terms. The notice should be sent to our legal contact address (provided in the Contact Information section) and include your name, account information, and a statement that you decline arbitration. Opting out of arbitration will not affect any other provisions of these Terms.

12.3 Class Action Waiver

To the fullest extent permitted by law, you and Barie.AI agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Further, unless both you and Barie.AI agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. If a court or arbitrator decides that the class action waiver is unenforceable or invalid, then the entire Section 12.2 (Dispute Resolution) shall be null and void, but the rest of the Terms shall still apply.

12.4 Changes to Terms

Barie.AI may modify these Terms from time to time. If we do, we will provide notice of material changes, such as by sending you an email, posting a notice in the Service, and/or updating the "Effective Date" at the top. Any changes will be effective upon posting unless otherwise specified. By continuing to use the Service after changes become effective, you agree to be bound by the updated Terms. If you do not agree to the new Terms, you must stop using the Service. We encourage you to review the Terms periodically.

12.5 Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any additional guidelines or terms provided for specific services or features, constitute the entire agreement between you and Barie.AI regarding the Service, and supersede all prior agreements (whether oral or written) between you and Barie.AI relating to the Service.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

Waiver: The failure of Barie.AI to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Barie.AI.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms freely to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law or otherwise. These Terms shall bind and inure to the benefit of the parties, their successors, and permitted assigns.

No Agency: These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Barie.AI. You do not have any authority of any kind to bind us in any respect whatsoever.

Third-Party Beneficiaries: Except as expressly provided in these Terms, there are no third-party beneficiaries to these Terms.

Force Majeure: Barie.AI will not be liable for any delays or failure in performance of any part of the Service, from any cause beyond our control. This includes, but is not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor or materials, failures of third-party software or communication networks (including the internet).
